這是在中國設(shè)立全部資本為外國投資者所有的外資企業(yè)（又稱獨資企業(yè)）須向外商投資企業(yè)的審批機構(gòu)報送的法律文件之一。外商投資企業(yè)的審批機構(gòu)，根據(jù)國務(wù)院的授權(quán)分別是對外經(jīng)濟貿(mào)易部及省、自治區(qū)、直轄市、計劃單列市、經(jīng)濟特區(qū)等地的人民政府。對外經(jīng)濟貿(mào)易部內(nèi)，由外資司負(fù)責(zé)審批工作。地方人民政府中，一般由經(jīng)貿(mào)委（廳、局）負(fù)責(zé)審批工作。
