WEBSITE MAINTENANCE AGREEMENT

This Website Maintenance Agreement is made and effective 17.09.2010, (the “Maintenance Agreement”)
本網(wǎng)站維護(hù)協(xié)議于2010年9月17日訂立并生效（以下稱為“本維護(hù)協(xié)議”）。
BETWEEN: Company A, (the Developer)
協(xié)議雙方：
公司A（以下稱為“開發(fā)方”）
AND: Company B (the client)
和
公司B（以下稱為“客戶”）
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the parties hereto agree as follows:
因此，鑒于本協(xié)議列出的相互保證和承諾，本協(xié)議雙方約定如下：
1. ANNUAL RATE FOR SERVICES
年度服務(wù)費(fèi)率
The 6 months rate for maintenance is 20 000 RMB + 5.5% tax.
兩個(gè)月的維護(hù)費(fèi)率為人民幣20 000元+5.5%的稅收。
Maintenance SESSIONS
維護(hù)期
Developer agrees:
to provide maintenance for a period of 6 months.
maintenance sessions up to 2.5 days a month.
開發(fā)方同意：
在六個(gè)月期限內(nèi)提供維護(hù)；
維護(hù)期為一個(gè)月至多2.5天。
This Agreement is limited to the http://buyfun.gouwuke.com website.
本協(xié)議僅限于網(wǎng)站http://buyfun.gouwuke.com 。
All modifications should be done within 72 hours after Developer’s notification of a maintenance session request.
開發(fā)方發(fā)出維護(hù)期要求通知后72小時(shí)內(nèi)應(yīng)實(shí)施一切變更。
The modification session request should be send to buyfun@sina.com
應(yīng)將維護(hù)期要求發(fā)往buyfun@sina.com。
The content to be updated shall be provided to the Developer in the following formats:
待更新的內(nèi)容應(yīng)利用以下格式提供給開發(fā)方。
Content: .doc (Microsoft Word) format
Image: .jpg format
Flash: .fla format
內(nèi)容：doc (Microsoft Word) 格式
圖像：jpg格式
Flash：fla 格式
Maintenance consists of current website code modification and content addition. Extra development or extra design will be charged separately.
維護(hù)包括當(dāng)前網(wǎng)站代碼變更以及內(nèi)容變更。額外開發(fā)以及額外設(shè)計(jì)將單獨(dú)收費(fèi)。
2. SERVICES

The following services are included:

- Addition of new content (text + images) in html format
- Addition of new html pages
- Modification of flash animation
- Upload of news
- Upload of downloadable files

l 上傳可以下載的文件
If persons other than Developer's representatives perform maintenance or modifications, and as a result further work is required by Developer to restore the website to operating condition, such repairs will be billed to the Customer, at the following rate: 2500RMB/8hours.
如果開發(fā)方代表之外的人士實(shí)施維護(hù)或變更，從而導(dǎo)致開發(fā)方需要開展額外工作方可將網(wǎng)站恢復(fù)到運(yùn)行狀態(tài)，則將針對(duì)該等維修向客戶收費(fèi)，費(fèi)率為人民幣2500元/8小時(shí)。
3. PAYMENTS
付款
For service as specified above on http://buyfun.gouwuke.com, the Customer agrees to pay 50% in advance and 50% at the end of the 6months period, in accordance with the terms specified on the face of the invoice.
對(duì)于網(wǎng)站http://buyfun.gouwuke.com規(guī)定的上述服務(wù)，客戶同意根據(jù)發(fā)票正面規(guī)定的條款預(yù)付50%的款項(xiàng)，在六個(gè)月期限結(jié)束時(shí)支付剩余50%的款項(xiàng)。
4. BINDING AGREEMENT
具有約束力的協(xié)議
This Agreement takes effect on the date written above and continues in effect for 6 months and will remain in force thereafter, with automatic annual renewal at then prevailing rates, until cancelled in writing by either party. If cancelled, the unearned portion of any advance payment will be credited to the customer.
本協(xié)議于文首所述日期生效，在六個(gè)月期限內(nèi)持續(xù)有效，每年按照當(dāng)時(shí)通行費(fèi)率自動(dòng)續(xù)約，直至由任何一方書面撤銷。如果本協(xié)議撤銷，任何預(yù)付款中開發(fā)方尚未賺取的部分將歸客戶所有。
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first above written.
本協(xié)議雙方于文首所述日期簽署本協(xié)議，特此為證。
