Suite 618 620 - 5th Avenue New York, N.Y. 10002 The United States of America Dear Mr. Smith: As you may know, Zhang, Wang & Lee is assisting Providence Group in identifying and locating special properties in Beijing that correspond to the particular specifications provided by you. In connection with that activity, this letter will confirm our recent conversation wherein we proposed that should your organization conclude a purchase of assets from contacts brought to you by us, and specifically any transactions involving Mr. Pei Sun or his agents and/or Mr. Wei Ma of the China Realty, Ltd., or any organization with which they are affiliated or bring to the table, then Providence will compensate this firm in the sum of 2% of the purchase price of any such property acquired, for our assistance in introducing, finding and coordinating such purchase. Said fee would be due and payable only upon and at settlement. Providence Group further agrees not to circumvent Zhang, Wang & Lee by conducting business directly with the prospective sellers, their agents, or by conducting business under other entities, names or business forms, with other entities or companies recommended to Providence through these presents. If these terms are in conformity with Providence’s understanding of the above mentioned arrangements, please sign and return one copy of this letter to our office.
